Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AltPROP Inc, ("AltPROP," "we," "us," or "our"), governing your access to and use of our website, mobile applications, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. Material changes will be notified by posting the updated Terms on this page. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

2. Platform and Brokerage Structure

AltPROP, Inc. is a technology platform company that operates the altprop.ai website, mobile application, and related digital services. AltPROP, Inc. is not itself a licensed real estate brokerage.

AltPROP, Inc. is a technology platform and PROP Realty is the licensed brokerage for representation services.

PROP Realty (TREC #9013986) is a separately licensed Texas real estate brokerage affiliated with AltPROP, Inc. PROP Realty provides brokerage services — including buyer representation, seller coordination, and listing services — to users of the AltPROP platform in Texas. When you engage with brokerage services through AltPROP, those services are performed by PROP Realty, not AltPROP, Inc.

AltPROP, Inc. as a platform does not:

• Guarantee the completion of any real estate transaction
• Verify the accuracy of all property listing content submitted by users
• Guarantee outcomes from the professional services marketplace

The Affiliated Business Arrangement between AltPROP, Inc. and PROP Realty is disclosed where required by RESPA and Texas law. You are not required to use PROP Realty services to use the AltPROP platform, though certain platform features (e.g., buyer showings, listing co-marketing) are only available through PROP Realty.

3. Eligibility and Account Registration

To use our Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations
• Complete KYC/AML verification if required

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4. User Conduct and Prohibited Activities

You agree NOT to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Post false, misleading, or fraudulent information
• Engage in money laundering, fraud, or other illegal activities
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use the Service for any illegal or unauthorized purpose
• Harass, abuse, or harm other users
• Collect or harvest information about other users
• Use automated systems to access the Service without authorization
• Circumvent security measures or payment systems

5. Fees and Payment Terms

AltPROP charges service-based fees, not percentage-based transaction fees:

• Listing Packages: One-time seller add-ons (Free FSBO, $499 PROP-Assist, $899 PROP-Assist + MLS)
• Service Fees: Flat fees for premium services (transaction coordination, floorplan generation, etc.)
• Payment Processing Fees: Tiered fees for crypto payment processing:
  • Services under $5,000: 1.0% + blockchain gas
  • Property $5,000 - $50,000: 0.5% + blockchain gas
  • Property over $50,000: Flat $99 + blockchain gas
• Third-Party Processing: Payment processors (NMI, Coinbase) may charge additional fees

All fees are non-refundable unless required by law or explicitly stated in our refund policy. Subscription fees are billed monthly and will auto-renew unless cancelled.

You are responsible for all taxes applicable to your use of the Service. We may collect sales tax where required by law.

6. Professional Services Marketplace

6.1 Consumer-Side Terms

When you submit an inquiry to a service professional (photographer, inspector, contractor, appraiser, etc.) through the AltPROP platform, you authorize AltPROP to share your contact information and inquiry details with that professional so they can respond. You understand that:

• The professional will receive your name, phone number, email, and inquiry context
• The professional pays a per-connection fee to AltPROP for this connection
• AltPROP does not guarantee the quality, availability, or outcome of any professional service
• Contracts for services are directly between you and the service professional
• AltPROP is not liable for acts or omissions of service professionals

6.2 Provider-Side Terms

Service professionals ("Providers") who onboard to the AltPROP marketplace are subject to the Provider Terms, which govern connection billing, dispute resolution, and conduct. Key points:

• Per-Connection Billing: Providers are billed a per-qualified-connection fee (currently $50/connection) for each qualified consumer inquiry in their service area. "Qualified" means the consumer is authenticated, in the provider's service area, and has provided contact information.
• No charge for unqualified inquiries: Out-of-area, unauthenticated, or spam inquiries are not billed.
• Billing cycle: Connections are aggregated monthly. Providers are billed on the 1st of the following month via the payment method captured at onboarding.
• 7-day dispute window: Providers may dispute any connection within 7 days of the monthly billing statement. Approved disputes are credited to the next invoice.
• Payment method required: A valid payment method (ACH or tokenized card) must be on file before a Provider can receive qualified connections.

6.3 Advertising and Sponsored Placements

AltPROP offers sponsored placement products (e.g., featured directory listings, promoted search results) through which Providers and advertisers can increase their visibility. Sponsored placements are marked as such. By purchasing a sponsored placement, you agree that:

• Sponsored placement fees are in addition to and independent of per-connection billing
• AltPROP does not guarantee a specific number of impressions, clicks, or connections from sponsored placements
• AltPROP reserves the right to reject or remove sponsored content that violates our policies
• Sponsored placement fees are non-refundable once the placement period begins

6. Blockchain and Cryptocurrency Transactions

Our Service includes blockchain-based features. By using these features, you acknowledge:

• Blockchain transactions are irreversible and permanent
• You are solely responsible for securing your wallet and private keys
• We are not responsible for losses due to lost keys, compromised wallets, or user error
• Cryptocurrency values are volatile and may fluctuate
• We do not provide investment, legal, or tax advice
• You must comply with all applicable cryptocurrency regulations
• We may require KYC/AML verification for cryptocurrency transactions

DISCLAIMER: AltPROP is not responsible for any losses, damages, or liabilities arising from blockchain transactions, cryptocurrency volatility, smart contract bugs, or network failures.

7. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by AltPROP Inc and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of content you post on the Service. By posting content, you grant AltPROP a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content for the purpose of operating and promoting the Service.

You may not use our trademarks, logos, or brand names without our prior written consent.

8. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

AltPROP does not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components
• Property listings are accurate or complete
• Transactions will be completed successfully
• Service providers meet your expectations

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALTPROP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless AltPROP Inc, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations
• Content you post or transmit through the Service
• Transactions you enter into with other users

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• All outstanding fees remain due and payable
• We may delete your account and data (subject to legal retention requirements)
• Provisions that by their nature should survive termination will survive

11. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

You waive any right to participate in a class-action lawsuit or class-wide arbitration.

12. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and AltPROP regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure: We shall not be liable for any failure to perform due to unforeseen circumstances or causes beyond our reasonable control.
